Terms of Service

Limma Innovation Inc. — Terms of Service for the hosted Limma service. Last updated 22 October 2026.

These Terms are an agreement between Limma Innovation Inc. ("Limma", "we", "us") and the organization that subscribes to the hosted Limma service ("Customer", "you"). The person who accepts them — by accepting them on the checkout page, or by using the Service — accepts them on the Customer's behalf and confirms that they are authorized to.

Limma's software installed inside your own network is licensed under separate terms, delivered with it.

1. Definitions

  • "Service" — Limma's hosted service: the API at api.limma.ai, its MCP endpoint, the upload links it issues, and the documentation at docs.limma.ai.
  • "Customer Content" — everything you, your users or your agents put into the Service (documents, files, records, questions, searches), and everything the Service derives from it for you (extracted facts, search vectors, answers).
  • "Key" — an API key Limma issues to you. A key is a credential: whoever holds it acts as you.
  • "Plan" — the subscription plan you choose, with its fees and its limits.
  • "Acceptable Use Policy" — the Acceptable Use Policy.

2. The Service and your account

Limma provides the Service to you under these Terms and your Plan. You are responsible for everything done with your Keys and for keeping them secret. If a Key may have been exposed, rotate it at once; tell Limma at contact@limma.ai if you believe the Service was used without your authority. You may let your employees, contractors and agents use the Service for your internal business, and you are responsible for their use.

3. Plans and fees

3.1 Plans and limits. Each Plan has the limits stated on the pricing page when you subscribe. A paid Plan's limits apply from its first successful payment; until then, the Free plan's limits apply. A request that would exceed a limit is refused; Limma charges no overage.

3.2 The Free plan. The Free plan asks for no payment method and is never charged. It has the limits stated for it on the pricing page (today: 50 documents held, 250 pages and 10,000 API calls a month, one workspace, files up to 10 MB), and these Terms apply to it as to any Plan. You may move from it to a paid Plan in the customer portal after adding a payment method; the move keeps your organization, its Keys and its Customer Content. Limma may change the Free plan's limits, or end the Free plan, by telling you at least thirty (30) days before; if it ends, you may move to a paid Plan, or your subscription ends and section 8 applies.

3.3 Fees and payment. The fees are the prices shown on the checkout page for your Plan, plus any applicable taxes. They are charged in advance for each billing period to the payment method you gave. Stripe, Inc. processes payments for Limma; Limma does not receive your full card number. Fees paid are non-refundable, except where the law requires a refund.

3.4 Price changes. Limma may change a Plan's price with at least thirty (30) days' notice before your next renewal; the new price applies from that renewal.

4. Renewal and cancellation

4.1 Automatic renewal. Your subscription renews automatically at the end of each billing period, for a period of the same length, until it is cancelled.

4.2 Cancellation. You may cancel at any time in the customer portal Stripe operates for Limma (an admin Key reaches it with POST /v1/billing/portal), or by writing to contact@limma.ai. A cancellation takes effect at the end of the billing period already paid for, and the Service keeps working until then.

5. Your content

5.1 You own Customer Content. Limma acquires no right in it except the licence in 5.2.

5.2 What Limma may do with it. You grant Limma a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display Customer Content only to provide, secure and support the Service for you, and as the law requires. Limma does not sell Customer Content, does not use it to train or fine-tune any machine-learning model, and does not use it to provide a service to anyone else.

5.3 Usage data. Limma records how the Service is used — counts of calls, documents and pages, errors, and the record of each call described in the Privacy Policy — to operate, bill, secure and support the Service, and improves the Service only from aggregated counts that identify no customer.

5.4 Your responsibilities. You are responsible for Customer Content: for having the rights and consents its processing needs, for its lawfulness, and for keeping your own copies of the documents you load. Where Customer Content includes personal data, Limma processes it on your behalf and on your instructions, which these Terms set out; if you need a data processing agreement, write to contact@limma.ai.

5.5 Output. What the Service returns — facts, receipts, counts, answers, and any confidence, tier or verification it reports with them — can be incomplete or wrong, and is not a warranty of accuracy. You are responsible for the decisions you make with it.

6. Acceptable use

You will use the Service only as the Acceptable Use Policy allows. Limma may change that policy under section 18.

7. Suspension

7.1 For non-payment. If a payment fails, or your subscription ends, the Service keeps working as before for a grace period of fourteen (14) days. When the grace period ends, your organization's access becomes read-only: reading and deleting keep working, so you can always read and erase Customer Content, and every operation that loads or changes data is refused. A successful payment restores full use.

7.2 For other causes. Limma may suspend access at once, without prior notice where waiting would cause harm, if your use breaches the Acceptable Use Policy, threatens the security or integrity of the Service or of anyone's data, or if the law requires it. Limma tells you why, and restores access once the cause is resolved.

8. Your content after the subscription ends

Limma deletes Customer Content thirty (30) days after your subscription ends — whether you cancelled it, it ended for non-payment, or the Free plan ended. Until then your access is as section 7.1 sets out (the grace period, then read-only): you can read and export Customer Content, and delete it yourself at any time. Copies in backups are deleted as those backups expire, and the records of calls described in the Privacy Policy are kept as it states. Account and billing records are kept as long as the law requires.

9. Confidentiality

"Confidential Information" is information one party (the discloser) gives the other (the recipient) that is marked confidential or that a reasonable person would understand to be confidential. Limma's includes the Service's non-public features, its Keys and its pricing terms offered to you alone; yours includes Customer Content. It does not include information that (a) is or becomes public through no fault of the recipient, (b) the recipient already knew without a duty of confidence, (c) the recipient lawfully receives from a third party without a duty of confidence, or (d) the recipient develops independently without using it.

The recipient uses Confidential Information only to perform these Terms or exercise its rights under them, protects it with at least reasonable care, and discloses it only to its employees, contractors, sub-processors and advisers who need it for that purpose and are bound by duties of confidence at least as protective. The recipient may disclose Confidential Information when the law requires it, after giving the discloser prompt notice where the law allows, so the discloser can seek protection.

10. Security

Limma maintains administrative, technical and physical safeguards designed to protect Customer Content, as described on the security page, and uses the sub-processors listed on the sub-processors page. Limma notifies you without undue delay after it becomes aware of a breach of its security that leads to unauthorized access to Customer Content.

11. Beta features

Features Limma marks as beta — today, topic search (a limma_search call with idea) — are offered as they are, may change or be withdrawn at any time, and are excluded from any commitment Limma makes about the Service's availability or performance.

12. Ownership and feedback

Limma and its licensors keep all right, title and interest in the Service and the documentation, including every improvement to them. If you give Limma suggestions or other feedback about the Service, Limma may use it for any purpose without obligation to you. Feedback never includes Customer Content or your Confidential Information.

13. Warranty disclaimer

EXCEPT AS THESE TERMS EXPRESSLY STATE, THE SERVICE, THE DOCUMENTATION AND ANY SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, LIMMA AND ITS LICENSORS DISCLAIM EVERY WARRANTY AND CONDITION, EXPRESS, IMPLIED OR STATUTORY, INCLUDING OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

14. Limitation of liability

(a) NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, HOWEVER CAUSED, EVEN IF ADVISED THAT THEY WERE POSSIBLE.

(b) EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS IS LIMITED TO THE FEES THE CUSTOMER PAID UNDER THESE TERMS IN THE TWELVE (12) MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE LIABILITY.

(c) Paragraphs (a) and (b) do not limit a party's obligations under section 15, your obligation to pay fees, your liability for breaching the Acceptable Use Policy, or any liability the law does not allow to be limited.

(d) These limits apply to every claim, in contract, tort (including negligence) or otherwise, even if a limited remedy fails of its essential purpose.

15. Indemnity

15.1 By Limma. Limma defends you against any claim by a third party that the Service, used as these Terms allow, infringes that third party's patent, copyright or trademark or misappropriates its trade secret, and pays the damages and costs finally awarded against you, or agreed in a settlement Limma approves. Limma has no obligation for a claim arising from Customer Content, from use in breach of these Terms, or from the Service combined with anything Limma did not provide, where the claim would not exist without the combination.

15.2 By you. You defend Limma against any claim by a third party arising from Customer Content, or from your use of the Service in breach of these Terms or of the Acceptable Use Policy, and pay the damages and costs finally awarded against Limma, or agreed in a settlement you approve.

15.3 How a claim is handled. The party seeking a defence notifies the other promptly in writing (a delay relieves the other only to the extent it is prejudiced), gives it sole control of the defence and settlement, and cooperates reasonably at its expense. No settlement may admit fault for, or impose an obligation on, the defended party without its consent, which it will not unreasonably withhold.

16. Term and termination

These Terms apply from your acceptance until your subscription ends and section 8 has run its course. Either party may terminate them by written notice if the other materially breaches them and does not cure the breach within thirty (30) days of a written notice describing it. Ending these Terms does not affect fees already owed, or rights and obligations that arose before. Sections 5, 8, 9 and 12 to 21 survive.

17. Export control and sanctions

You comply with the export-control and economic-sanctions laws that apply to your use of the Service, including those of the United States; you do not use the Service from, or give access to it to anyone in, a country, region or list those laws prohibit; and you confirm that you are not, and are not owned or controlled by, a person or entity on a government list of prohibited or restricted parties.

18. Changes to these Terms

Limma may change these Terms, the Acceptable Use Policy and the Plans' limits. A material change is announced at least thirty (30) days before it takes effect, by e-mail to the address of your account or on this page. If you do not accept it, cancel before it takes effect; using the Service after that date accepts it.

19. Notices

Notices under these Terms are in writing. A notice to Limma goes to contact@limma.ai; a notice to you goes to the e-mail address of your account. A notice takes effect when it is received.

20. Governing law and venue

These Terms, and every dispute arising out of or relating to them, are governed by the law of the State of Delaware, USA, without regard to its conflict-of-laws rules. Exclusive jurisdiction belongs to the state and federal courts located in the State of Delaware, USA, and each party submits to them; either party may still seek an injunction or other urgent relief in any court that has jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

21. General

You may not assign these Terms without Limma's prior written consent; Limma may assign them to an affiliate or to a successor to its business. If a provision of these Terms is unenforceable, it is enforced to the fullest extent allowed and the rest remains in force. A failure to enforce a provision is not a waiver of it. The parties are independent contractors, and these Terms create no rights for anyone else. Neither party is liable for a delay or failure caused by events beyond its reasonable control, except for an obligation to pay. These Terms, with the documents they link, are the entire agreement between the parties about the Service. Headings are for convenience only.
